The compensation must be commensurate of the NIL services or potential value of the NIL rights. It's called a quid-pro-quo.
FMV can be estimated, and a "reasonable person standard" would apply in determining if the compensation is legit NIL or thinly-veiled pay-for-play that grossly exceeds the value of the service/NIL rights.
