how it is unfair to stockholders to not alert them that you are buying a significant amount of shares.

To my mind investors should primarily value a stock based upon its fundamentals and probability of growth... or deterioration. If they made those evaluations and decided on a fair value and someone started buying up shares it would tend to increase the price anyway, giving them a better sale price than would have been the case had he not been buying them up.

I don't see how that is unfair to them.
